Terms of Service

By accessing or using the Service, creating an account, posting content (including event listings), or clicking a button to accept these Terms where offered, you agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity.

You must be old enough to form a legally binding contract where you live (typically at least 18 in the United States). Additional rules may apply for minors; parents and guardians are responsible for minors’ use where applicable law requires.

Where's It App helps users find and share information about local events. Features may include event listings, maps and location-based discovery, search and filters, user profiles, messaging or social features, administrative tools for hosts and moderators, and other functionality we add, modify, or retire over time.

The Service may be labeled as beta or otherwise under active development. We may change, suspend, or discontinue any feature with or without notice. We do not guarantee uninterrupted or error-free operation, and we are not responsible for delays or failures outside our reasonable control.

You may use the Service only in compliance with these Terms and all applicable laws. You may not use the Service if you have been prohibited by us from doing so, or if prior account suspensions apply.

Certain features (such as creating events or sending messages) may require registration and verification steps we specify from time to time.

You agree to provide accurate registration information and to keep it updated. You are responsible for safeguarding your password and for activity under your account. Notify us promptly at support@wheresitapp.online if you suspect unauthorized access.

You may not share accounts in a way that violates these Terms or misleads other users about who is hosting or attending an event. We may refuse registration or require additional verification at our discretion.

You retain ownership of content you submit ("User Content"), subject to the license below. You represent and warrant that you have all rights necessary to post User Content and that it does not violate law or these Terms.

You grant Where's It App a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting or technical purposes), display, distribute, and create derivative works as needed solely to operate, improve, promote, and secure the Service—including showing your listings in search results, maps, notifications, and marketing related to the Service unless you opt out where we offer an opt-out.

Event hosts are solely responsible for the accuracy of dates, prices, accessibility information, cancellation policies, age restrictions, and compliance with venue rules and applicable regulations (including alcohol, permits, taxes, and consumer protection laws). Listings are invitations for users to learn about events; unless we explicitly sell tickets on your behalf, transactions occur between users and organizers or third-party ticketing platforms.

You agree not to:

• Violate applicable laws or infringe others' intellectual property, privacy, or publicity rights.
• Post false, fraudulent, or misleading event information; scams; phishing; malware; or spam.
• Harass, threaten, abuse, discriminate against, or endanger others, or coordinate harmful conduct.
• Upload sexually exploitative content involving minors, or other illegal content, including content that promotes violence or terrorism.
• Circumvent security, scrape or overload our systems without permission, or use automated means to access the Service except as allowed by robots.txt or written agreement.
• Impersonate any person or entity, or misrepresent affiliation with an organization or event.
• Use the Service to distribute unsolicited commercial messages in violation of anti-spam laws.

Our Community Guidelines describe additional expectations for respectful participation.

We may—but are not obligated to—review, monitor, remove, or restrict User Content or accounts. We may cooperate with law enforcement when required by law or when we believe it necessary to protect safety, rights, or the integrity of the Service.

Reports from users and automated signals may inform enforcement. Decisions may include warnings, content removal, feature limits, or termination. If you believe action was taken in error, contact us at the email below.

The Service may integrate maps, analytics, authentication, email delivery, hosting, payment processors, or ticketing partners. Those services have their own terms and privacy policies. Your dealings with third parties are solely between you and them.

Events often occur at third-party venues or through third-party ticketing. We do not control venues, performers, or ticketing platforms and are not responsible for their acts or omissions.

The Service, including software, branding, logos, designs, and compilation of content (excluding User Content), is owned by Where's It App or its licensors and protected by intellectual property laws. Except as expressly allowed by these Terms, you may not copy, modify, distribute, sell, or reverse engineer our proprietary materials.

Feedback you send us may be used without obligation or compensation to you.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your requirements, that events are safe or lawful, or that information provided by users or venues is accurate.

You participate in events and interact with other users at your own risk. You should verify critical details (times, prices, accessibility, safety) directly with organizers and venues.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHERE'S IT APP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100 USD), IF YOU HAVE NOT PAID US FOR THE SERVICE.

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the minimum permitted by law.

You will defend, indemnify, and hold harmless Where's It App and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your events, your use of the Service, your violation of these Terms, or your violation of third-party rights.

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure for us, or for operational reasons.

Provisions that by their nature should survive termination—including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute-related sections—will survive.

We may modify these Terms from time to time. We will post the updated Terms on the Service and update the effective date. For material changes, we may provide additional notice (such as a banner or email) where appropriate. Your continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service.

These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules that would apply another jurisdiction's laws. Subject to mandatory consumer protections in your country of residence that cannot be waived, you agree that exclusive jurisdiction and venue for disputes arising from these Terms or the Service lie in the state and federal courts located in Delaware, USA, and you consent to personal jurisdiction there.

Informal resolution: Before filing a claim, you agree to contact us at support@wheresitapp.online and attempt to resolve the dispute in good faith for at least thirty (30) days.

If you are a consumer in the European Economic Area, United Kingdom, or other region with mandatory local dispute or jurisdiction rules, nothing in these Terms limits rights you have under applicable law.

Entire agreement.These Terms and the policies referenced here are the entire agreement between you and Where's It App regarding the Service.

Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

No waiver. Failure to enforce any provision is not a waiver.

Severability. If any provision is invalid, the remainder remains in effect.

Export. You may not use the Service in violation of export control or sanctions laws.
